Terms of Service

1. Definitions

• Service — the Dubra Solutions dashboard, website, and related analytics software.
• Store — the retail business that participates in a pilot or subscription and installs our hardware.
• Account — the credentials that let an authorised person of a Store access the dashboard.
• Hardware — the camera and edge device provided by Dubra Solutions and installed in the Store.
• User, you — the person using the Service under an Account.

2. Eligibility and accounts

The Service is for business use only. To access it you must create an Account, which requires: a valid business email, a password, and confirmation that you are authorised to act for the Store. What we need to connect you is limited to this account information — we do not require more personal data than necessary to provide the Service.

3. Account security

You are responsible for keeping your credentials confidential and for activity under your Account. Notify us promptly at gustavs@dubrasolutions.com of any unauthorised use. We may suspend an Account if we reasonably believe it has been compromised or misused.

4. Acceptable use

You agree not to: (a) reverse-engineer, copy, or resell the Service; (b) attempt to access data or accounts that are not yours; (c) interfere with or disrupt the Service or its security; (d) use the Service unlawfully or to infringe others' rights; or (e) tamper with or relocate the Hardware without our agreement.

5. The Service and pilots

The Service provides analytics on shopper interactions with shelves (pickups, put-backs, dwell) and presents them in a dashboard. During a pilot, the Service is provided free of charge and on an "as is" basis for evaluation. We make no guarantee of a specific accuracy figure during a pilot — the pilot itself is the validation. Conversion or purchase data is shown only if the Store chooses to provide point-of-sale data; the camera does not detect purchases.

6. Hardware

The Hardware remains the property of Dubra Solutions at all times. We install and remove it, and the Store agrees to allow reasonable access for installation, maintenance, and removal, and to take reasonable care of it while on the premises.

7. Data protection

Our handling of personal data is described in our Privacy Policy. For in-store analytics, the Store is the data controller and Dubra Solutions acts as its processor under a separate Data Processing Agreement (DPA). Processing happens on the device, no video is stored or transmitted, and only anonymous shelf events leave the device. The Privacy Policy and DPA prevail over these Terms on data-protection matters.

8. Intellectual property

Dubra Solutions owns all rights in the Service, dashboard, and software. The Store's own business data, and any anonymous analytics generated for the Store, are made available to the Store for its use. Nothing in these Terms transfers ownership of our software to you.

9. Availability and warranties

We aim to keep the Service available but do not warrant that it will be uninterrupted or error-free, particularly during a pilot. To the extent permitted by law, the Service is provided "as is" without implied warranties.

10. Limitation of liability

To the maximum extent permitted by Latvian law, Dubra Solutions is not liable for indirect or consequential losses. For a free pilot, our aggregate liability is limited to the extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded by law.

11. Term and termination

Either party may stop using or providing the Service at any time. On termination we remove the Hardware and delete any retained masked clips as described in the pilot agreement and Privacy Policy. Sections that by their nature should survive termination (for example, intellectual property and limitation of liability) continue to apply.

12. Changes to the Terms

We may update these Terms. We will post the updated version with a new "Last updated" date and will notify account users in advance of material changes where reasonably possible. Continued use after changes take effect means you accept them.

13. Governing law

These Terms are governed by the laws of the Republic of Latvia. Disputes are resolved first by negotiation and, failing that, by the competent courts of Latvia.
